Modifications to this Agreement. We reserve the right, at our sole discretion, to change, modify
or otherwise alter these terms and conditions at any time. Such modifications shall become
effective immediately upon the posting thereof. You must review this agreement on a regular
basis to keep yourself apprised of any changes.
You will post in the appropriate category or area and will not do any of the following:
1. violate any laws or the “flixbid Policies”
2. be false or misleading;
3. infringe any third-party right;
4. distribute or contain spam, chain letters, or pyramid schemes;
5. distribute viruses or any other technologies that may harm flixbid or the interests
or property of flixbid users;
6. impose an unreasonable load on our infrastructure or interfere with the proper
working of flixbid ;
7. copy, modify, or distribute any other person's content without their consent;
8. use any robot, spider, scraper or other automated means to access flixbid and
collect content for any purpose without our express written permission;
9. harvest or otherwise collect information about others, including email addresses,
without their consent;
10. bypass measures used to prevent or restrict access to flixbid .
Abusing flixbid. Please use the flagging system to tell us about any problems or offensive
content so that together we can keep the site working properly. We may limit or terminate our
service, remove hosted content and take technical and legal steps to keep users off flixbid if we
think that they are creating problems or acting inconsistently with the letter or spirit of our
policies. However, whether we decide to take any of these steps, remove hosted content or keep a
user off flixbid, or not, we do not accept any liability for monitoring flixbid, or for unauthorized
or unlawful content on flixbid, or use of flixbid, by users.
Global Marketplace. Some of flixbid's features may display your ad on other sites that are part
of the global flixbid community, like on flixbid or our sites in other countries. By using flixbid,
you agree that your ads can be displayed on these other sites. The terms for our other sites are
similar to these terms, but you may be subject to additional laws or other restrictions in the
localities, states or countries where your ad is posted. When you choose to post your ad to
another site, you may be responsible for ensuring that it does not violate our other site policies.
We may remove your ad if it is flagged on any of our sites, or if we believe it causes problems or
violates any law or policy.
Fees and Service’s. Using flixbid is free.

our fee policy by posting such changes on the site. We may choose to temporarily change our
fees for promotional events or new service’s; these changes are effective when we announce the
promotional event or new service.
Our fees are non-refundable, and you are responsible for paying them when they're due. If you
don't, we may limit your ability to use the services. If your payment method fails or your account
is past due, we may collect fees owed using other collection mechanisms (for accounts over 180
days past due, we may deduct the amount owed from your PayPal account balance).
Content. flixbid contains stuff from us, you, and other users. You agree not to copy, modify, or
distribute flixbid, our copyrights or trademarks. When you give us content, you are granting us a
non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise
the copyright, publicity, and database rights to that content. If you believe that your rights have
been violated, please notify our designated copyright agent at support@flixbid.com and we will
investigate the matter. We reserve the right to remove content where we have grounds for
suspecting the violation of these terms or of any party's rights.
Reporting Intellectual Property Infringements. Do not post content that infringes the rights of
third parties. This includes, but is not limited to, content that infringes on intellectual property
rights such as copyright and trademark (e.g. offering counterfeit items for sale). We reserve the
right to remove content where we have grounds for suspecting the violation of these terms, our
policies or of any party's rights. The following steps are for reporting a listing to flixbid that you
believe to be infringing on your intellectual property rights. Only the intellectual property rights
owner can report of potentially infringing items or listings through support@flixbid.com.
If you believe that a listing on flixbid infringes your copyright, trademark, or other intellectual
property rights, all you need to do is download our Notice of Claimed Infringement (NOCI)
form, fill it out, and fax it to flixbid. After we receive your first NOCI, flixbid will confirm your
enrollment in our program and send you the instructions on how to submit future reports
electronically.
Liability. You agree not to hold us responsible for things other users post or do. As most of the
stuff on flixbid comes from other users, we do not guarantee the accuracy of postings or user
communications or the quality, safety, or legality of what's offered. We also cannot guarantee
continuous or secure access to our services. Accordingly, to the extent legally permitted we
expressly disclaim all warranties, representations and conditions, express or implied, including
those of quality, merchantability, merchantable quality, durability, fitness for a particular purpose
and those arising by statute. We are not liable for any loss, whether of money (including profit),
goodwill, or reputation, or any special, indirect, or consequential damages arising out of your use
of flixbid, even if you advise us or we could reasonably foresee the possibility of any such
damage occurring. Some jurisdictions do not allow the disclaimer of warranties or exclusion of
damages, so such disclaimers and exclusions may not apply to you.
Despite the previous paragraph, if we are found to be liable, our liability to you or any third party
(whether in contract, tort, negligence, strict liability in tort, by statute or otherwise) is limited to (????????)

the greater of (a) the total fees you pay to us in the 12 months prior to the action giving rise to
liability, and (b) 100 US Dollars.
Conduct. You agree not to post, email, or otherwise make available Content:
a) that is unlawful, harmful, threatening, abusive, harassing, defamatory,
libelous, invasive of another's privacy, or is harmful to minors in any way, and or through the use
profanity;
b) that is pornographic or depicts a human being engaged in actual sexual conduct
including but not limited to (i) sexual intercourse, including genital-genital,
oral-genital, anal-genital, or oral-anal, whether between persons of the same or
opposite sex, or (ii) bestiality, or (iii) masturbation, or (iv) sadistic or
masochistic abuse, or (v) lascivious exhibition of the genitals or pubic area
of any person (vi) nudity;
c) that harasses, degrades, intimidates or is hateful toward an individual or
group of individuals on the basis of religion, gender, sexual orientation,
race, ethnicity, age, or disability;
d) that violates the Fair Housing Act by stating, in any notice or ad for
the sale or rental of any dwelling, a discriminatory preference based on
race, color, national origin, religion, sex, familial status or handicap
(or violates any state or local law prohibiting discrimination on the
basis of these or other characteristics);
e) that violates federal, state, or local equal employment opportunity
laws, including but not limited to, stating in any advertisement for
employment a preference or requirement based on race, color, religion,
sex, national origin, age, or disability.
f) that
violates the anti-discrimination provision of the Immigration and
Nationality Act, including requiring U.S. citizenship or lawful
permanent residency (green card status) as a condition for employment,
unless otherwise required in order to comply with law, regulation,
executive order, or federal, state, or local government contract.
g) that impersonates any person or entity, including, but not limited to, a
flixbid employee, or falsely states or otherwise misrepresents your
affiliation with a person or entity (this provision does not apply to Content
that constitutes lawful non-deceptive parody of public figures.);
h) that includes personal or identifying information about another person
without that person's explicit consent;
i) that is false, deceptive, misleading, deceitful, misinformative, or
constitutes "bait and switch";
j) that infringes any patent, trademark, trade secret, copyright or other
proprietary rights of any party, or Content that you do not have a right to
make available under any law or under contractual or fiduciary relationships;
k) that constitutes or contains "affiliate marketing," "link referral code,"
"junk mail," "spam," "chain letters," "pyramid schemes," or unsolicited
commercial advertisement;
l) that constitutes or contains any form of advertising or solicitation if: (???????????????)

posted in areas of the flixbid sites which are not designated for such
purposes; or emailed to flixbid users who have not indicated in writing that
it is alright to contact them about other services, products or commercial interests.
m) that also includes links to commercial services or web sites, except as allowed
in "services";
n) that advertises any illegal service or the sale of any items the sale of
which is prohibited or restricted by any applicable law, including without
limitation items the sale of which is prohibited or regulated by California
law.
o) that contains software viruses or any other computer code, files or
programs designed to interrupt, destroy or limit the functionality of any
computer software or hardware or telecommunications equipment;
p) that disrupts the normal flow of dialogue with an excessive amount of
Content to the Service, or that otherwise negatively
affects other users' ability to use the Service; or
q) that employs misleading email addresses, or forged headers or otherwise
manipulated identifiers in order to disguise the origin of Content
transmitted through the Service.
r) contact anyone who has asked not to be contacted, or make unsolicited
contact with anyone for any commercial purpose;
s) "stalk" or harass anyone;
t) collect and obtain personal data about other users for commercial or unlawful
purposes;
u) use automated means, including spiders, robots, crawlers, data mining
tools, or the like to download data from the Service - unless expressly
permitted by flixbid;
v) post non-local or otherwise irrelevant Content, repeatedly post the
same or similar Content or otherwise impose an unreasonable or
disproportionately large load on our infrastructure;
w) post the same item or service in more than one classified category or
forum, or in more than one metropolitan area;
x) attempt to gain unauthorized access to flixbid's computer systems or
engage in any activity that disrupts, diminishes the quality of, interferes
with the performance of, or impairs the functionality of, the Service or
the flixbid website; or
y) use any form of automated device or computer program that enables the
submission of postings on flixbid without each posting being manually
entered by the author thereof (an "automated posting device"), including
without limitation, the use of any such automated posting device to submit
postings in bulk, or for automatic submission of postings at regular intervals.
z) use any form of automated device or computer program ("flagging tool")
that enables the use of flixbid's "flagging system" or other community
moderation systems without each flag being manually entered by the person
that initiates the flag (an "automated flagging device"), or use the
flagging tool to remove posts of competitors, or to remove posts without a
good faith belief that the post being flagged violates these TOU;

Resolution of disputes. If a dispute arises between you and flixbid, our goal is to provide you
with a neutral and cost effective means of resolving the dispute quickly and efficiently.
Accordingly, you and flixbid agree that we will resolve any claim or controversy at law or equity
that arises out of this Agreement or our services (a "Claim") in accordance with one of the
subsections below or as we and you otherwise agree in writing. Before resorting to these
alternatives, we strongly encourage you to first contact us directly to seek a resolution by going
to the support@flixbid.com help page. We will consider reasonable requests to resolve the
dispute through alternative dispute resolution procedures, such as mediation or arbitration, as
alternatives to litigation.
1. Law and Forum for Disputes - This Agreement shall be governed in all respects by the laws of
the State of California as they apply to agreements entered into and to be performed entirely
within California between California residents, without regard to conflict of law provisions. You
agree that any claim or dispute you may have against flixbid must be resolved exclusively by a
state or federal court located in California, except as otherwise agreed by the parties or as
described in the Arbitration Option paragraph below. You agree to submit to the personal
jurisdiction of the courts located within California for the purpose of litigating all such claims or
disputes.
2. Arbitration Option - For any claim (excluding claims for injunctive or other equitable relief)
where the total amount of the award sought is less than $10,000, the party requesting relief may
elect to resolve the dispute in a cost effective manner through binding non-appearance-based
arbitration. In the event a party elects arbitration, they shall initiate such arbitration through an
established alternative dispute resolution ("ADR") provider mutually agreed upon by the parties.
The ADR provider and the parties must comply with the following rules: (a) the arbitration shall
be conducted by telephone, online and/or be solely based on written submissions, the specific
manner shall be chosen by the party initiating the arbitration; (b) the arbitration shall not involve
any personal appearance by the parties or witnesses unless otherwise mutually agreed by the
parties; and (c) any judgment on the award rendered by the arbitrator may be entered in any court
of competent jurisdiction.
3. Improperly Filed Claims - All claims you bring against flixbid must be resolved in accordance
with this Resolution of Disputes Section. All claims filed or brought contrary to the Resolution of
Disputes Section shall be considered improperly filed. Should you file a claim contrary to the
Resolution of Disputes Section, flixbid may recover attorneys' fees and costs up to $1000,
provided that flixbid has notified you in writing of the improperly filed claim, and you have
failed to promptly withdraw the claim.
We will send you notices via the email address you provide, or by registered mail. Notices sent
by registered mail will be deemed received five days following the date of mailing. We may
update this agreement at any time, with updates taking effect when you next use the site or after
30 days, whichever is sooner. No other amendment to this agreement will be effective unless
